据本报记者在硅谷获得的独家消息，一家中国互联网公司已于近日收购美国纳斯达克上市公司LookSmart(NASDAQ：LOOK)的部分资产。
奇怪的是，就规模而言，本收购案的主角绝非中国互联网界翘楚，甚至绝大部分的中国网民都不认识它——这个神秘公司名叫“Diigo”，成立于2005年，总部位于成都。截至目前，创业团队仅有10人。
“交易刚刚完成。”旧金山时间3月9日晚，当记者辗转联系到正身在美国加州的Diigo创始人任伟时，任伟向记者确认了这一消息。
这是一个值得研究的中国互联网公司收购案。而更具现实意义的是，它展现了这一轮中国企业海外并购的第三种方式。
如果说，中国国有企业收购美国价格缩水的重要资源，如中铝收购力拓，是主要的海外并购模式；那么，第二种模式——民企并购海外上市但主要业务在中国的外资企业，就显得势单力薄；而利用经济危机寻找美国利益块做自我价值提升的Diigo，展现了中国另一类缺乏现金流的初创高新企业的智与勇，也凸现了中国海外并购的第三种模式。
什么是Diigo
但这并不是说，Diigo的核心功能或Diigo的愿景就是Del.icio.us。至少，这个古怪的名字取自“Digest of Internet Information, Groups and Other stuff”的缩写，重点在“消化”而不是收藏。从某种意义上说，它甚至是对Del.icio.us的一种超越。
在西方互联网界，Diigo已收获好评，如获内华达州的“年度科技创业公司”、美国科技创新基金的“年度科技创新公司”及在第二届Open Web评比中获“用户推选的最佳社会书签网站”等。
那么，什么是Diigo？
对此，国外众多科技博客曾有过相当多描述，最经典的一段是：“Diigo无疑是一个有众多功能而难以书面表达的初创。关键一点，它其实不是一个书签网站。这个工具的精髓在于研究；其次，是有效力的社区。而此次3.0版本，上述两个元素已被大大拉近。Diigo在美学、连贯和‘酷’(如果我们必须要的话)方面还任重道远。但作为一个研究性的生产社区，它无可匹敌。”
什么是研究性的生产社区？
你可以试想，此时，你正躺在床上看一本你喜爱的书，然后在某些页码上，你折叠了几个三角，以代表它的重要性；同时，你还可能在某些段落划下重点线，甚至做上批注。而Diigo正是这一物理过程的网络转移。它的核心要领不是Del.icio.us式的网络书签收藏，而是勾画和批注。
当然，除私人应用外，它还提供群体协作功能。如老师和学生、同一公司的不同员工在Diigo上操作同一项目时，能跟踪和回现双方的勾画、批注细节及历史。
“互联网发展已开始处理以人为核心的信息管理，但这不仅仅是人际关系的管理(典型代表是Facebook)，还包括其它，如以提高生产力为目的的对知识信息的管理，”任伟说：“我们要做的是后面这种。”
不过，对Diigo来说，一个无法回避的问题是：因其核心功能的高门槛性和低需求性(至少现在，会有那么多人喜欢对网络阅读的东西进行勾画和批注吗？)，将导致用户数量难以腾飞。
“这也正是启动收购的原因所在。”任伟认为，通过将Furl的百万全球用户的导入，Diigo将拥有更庞大的用户基数。
当然，这种转化未必绝对成功，如极有可能流失掉部分觉得收藏功能已足够的Furl用户，不过，至少Diigo可以趁此追击，“我们将尽快推出3.5版和4.0版，应用上我们会有所调整，以降低门槛”。
据任伟透露，Diigo商业模式将为“Free+Premium”，即收藏、勾画、批注等基本功能免费，而对一些增值比较高的服务，收取一定费用。
Diigo认为，在中国做研发成本低，而中国实际上不缺乏技术人才。不过，它为何将市场放在了美国？
据记者了解，Diigo创始人任伟，1982年毕业于重庆大学自动化系，之后考上教育部公派留学，并于1986年获硕士学位，1991年以最佳博士论文奖获伊利诺大学香槟分校电机系博士学位，并在1991年至1999年期间，担任加州大学伯克莱分校教授。
此后，任伟转战商界，除曾在硅谷创办WeVest外，目前创立并管理资产超过500万美元的对冲基金；2002年，任投资设立利马高科(成都)有限公司，担任首席执行长兼首席科学家。
除对美国市场和商业环境熟悉外，据任伟透露，Diigo的反向发展之路也与其对中国市场的判断有关。
“我们一直希望做知识管理的东西，但中国前几年的互联网主流应用是娱乐，”任伟说，那时切入中国市场不适合，“第一，缺乏用户基数；第二，可能带来负面效果，如产生大量用户载入暴力和色情内容的局面。”
这可能也是此前国内一大批社会书签网站死亡的原因。过去，Diigo决定先走一个国际化道路。但现在，他们已开始逐步重视中国市场。
